IMPORTANT: These General Service Terms are intended for business-to-business web design, development and management work. A solicitor should review them together with LWT’s proposal/order process before production use.
1. PARTIES AND CONTRACT STRUCTURE
These General Service Terms apply where Leon Web Tailor Ltd (“LWT”, “we”, “us”) provides web design, development, rebuild, e-commerce, landing page, portal, workflow, integration, maintenance, Website Management or related services to a client (“Client”, “you”).
A project contract consists of:
(a) the accepted proposal, quotation, statement of work, order form or other project-specific written agreement (“Project Order”);
(b) these General Service Terms; and
(c) any additional written terms expressly incorporated into the Project Order.
If there is a conflict, the Project Order takes priority for that project, followed by any expressly incorporated special terms, then these General Service Terms.
2. BUSINESS CUSTOMERS
Our services are primarily supplied for business purposes. By entering a Project Order on behalf of an organisation, you confirm that you have authority to bind that organisation.
If mandatory consumer law applies to a particular Client despite these terms, nothing in these terms removes rights that cannot lawfully be excluded. LWT should obtain legal advice before using the same contracting flow for material consumer-facing sales.
3. SCOPE
We will provide the services and deliverables described in the Project Order. Anything not expressly included is outside scope.
Examples of separate or additional work may include new pages, new landing pages, additional integrations, major design changes, new functionality, substantial content entry, migration work not identified at quotation, third-party platform remediation, advertising/marketing services, or work arising from changed Client requirements.
Additional work requires written agreement and may be separately quoted or charged at an agreed rate.
4. PROJECT PROCESS AND CLIENT COOPERATION
The Client will provide in a timely manner the information, content, access, approvals, credentials, brand assets, legal text, product/service information and decisions reasonably required for the project.
The Client is responsible for the accuracy, legality and rights clearance of materials it supplies. The Client must not provide material that infringes third-party rights or is unlawful.
Project dates depend on timely Client cooperation. If Client delay, non-response or late changes affect the schedule, LWT may reasonably revise milestones and delivery dates.
If a project is inactive because required Client input has not been provided for 30 days or another period stated in the Project Order, LWT may place the project on hold. Restarting may be subject to rescheduling and, where the delay causes material additional work or remobilisation, a reasonable additional fee agreed before that work proceeds.
5. FEES, DEPOSITS AND PAYMENT
Fees, deposits, milestones, recurring charges and payment dates are stated in the Project Order or invoice.
Unless otherwise stated:
-  invoices are payable by the due date shown on the invoice;
-  amounts are exclusive of VAT where VAT is legally chargeable;
-  bank, card or payment-provider charges imposed on LWT do not alter the agreed invoice amount unless the Project Order expressly says otherwise;
- the Client is responsible for third-party charges that it has approved or that the Project Order identifies as Client costs.
LWT may suspend work or withhold launch, transfer, credentials or final deliverables while an undisputed invoice is overdue, after giving reasonable notice.
6. THIRD-PARTY COSTS
Domain registration, hosting, software subscriptions, licences, themes, plugins, stock assets, fonts, APIs, payment platforms, advertising platforms, external services and similar third-party items are not LWT-owned services unless expressly stated otherwise.
Where possible and commercially sensible, LWT may arrange third-party services for the Client, but the underlying third-party terms, renewal rules, availability and price changes remain those of the third-party provider.
Unless expressly agreed otherwise, LWT does not mark up a third-party fee merely to disguise its underlying cost. Any LWT setup, administration, integration or management work is a separate service charge where applicable.
7. CHANGE REQUESTS AND REVISIONS
The Project Order may specify included review or revision rounds. A revision means a reasonable adjustment to agreed work, not a change of project direction or creation of materially new scope.
Requests outside the agreed scope or revision allowance may be quoted as additional work. We will aim to identify material scope changes before carrying them out.
8. ACCEPTANCE AND LAUNCH
We may provide staging, preview or review access before launch. The Client should review deliverables promptly and notify us of material non-conformity with the agreed scope.
Unless the Project Order states another period, if the Client does not identify a material issue within 10 business days after a deliverable is presented for final acceptance, or instructs us to launch/use it in production, the deliverable may be treated as accepted, without affecting any obligation to correct a latent defect that clearly falls within the agreed scope.
Minor cosmetic preferences or requests for new scope do not prevent acceptance where the agreed deliverable has been substantially completed.
9. OWNERSHIP OF CLIENT DELIVERABLES
Subject to full payment of all amounts due for the relevant project, LWT’s intended commercial model is that the Client owns the bespoke final website code, bespoke design deliverables and Client-specific content created by LWT for that project, to the extent that LWT is legally able to transfer those rights.
The Client’s ownership does not include:
-  third-party software, open-source code, libraries, frameworks, plugins, fonts, stock assets or other materials governed by their own licences;
-  pre-existing LWT tools, know-how, methods, generic code, utilities, templates or reusable components that were not created uniquely for the Client;
- third-party platform accounts or services that remain subject to provider terms.
To the extent a pre-existing LWT component is embedded in the final deliverable and is necessary for normal use of the deliverable, LWT grants the Client a perpetual, non-exclusive licence to use that component as part of the delivered project, unless the Project Order states otherwise.
Rights transfer is conditional on full payment. Until full payment, the Client receives only such limited permission as is necessary to review and test the work.
10. CLIENT MATERIALS
The Client retains ownership of materials it supplies. The Client grants LWT a licence to use, copy, adapt and process those materials as reasonably necessary to perform the project.
The Client warrants that it has the rights and permissions required for LWT to use the supplied materials for the project.
11. PORTFOLIO AND ATTRIBUTION
Unless the Project Order states otherwise, after public launch LWT may identify the Client as a client and display reasonable screenshots, a link and a factual description of the work in LWT’s portfolio, credentials or business-development materials, excluding confidential information.
If the Client has a genuine confidentiality or white-label requirement, this should be agreed in writing before launch.
Any website credit or footer attribution to LWT should be agreed in the Project Order or before launch and should not be used to imply ownership of the Client’s website.
12. WEBSITE MANAGEMENT AND MAINTENANCE
Where the Client purchases Website Management or maintenance, the service covers only the maintenance/stewardship tasks described in the applicable agreement for the pages, functionality and systems within that agreed managed scope.
Website Management does not automatically include new development. New pages, campaign landing pages, new features, new integrations, major redesigns, substantial content restructuring or other materially new work are separately scoped and quoted.
Recurring Website Management fees, service levels and included tasks are those stated in the applicable Project Order or management agreement. LWT may propose updated pricing for a future renewal period in accordance with that agreement, but will not retrospectively alter fees already due.
13. HOSTING, DOMAIN AND PORTABILITY
Unless hosting is expressly included, the Client is responsible for maintaining suitable hosting and domain services. LWT does not require the Client to remain on captive LWT hosting as a condition of owning the completed project.
Following full payment, we will reasonably cooperate with transfer or handover of Client-owned project materials and credentials within our control. Additional migration or handover work beyond the agreed delivery may be chargeable if it requires material technical work.
LWT is not responsible for outages, data loss, policy changes or price changes caused by a third-party host, registrar, platform or provider outside our reasonable control.
14. BACKUPS AND SECURITY
Any backup, monitoring, update or security obligations undertaken by LWT are limited to those expressly included in the Project Order or Website Management agreement.
No website or system can be guaranteed completely secure or continuously available. The Client remains responsible for appropriate organisational controls, account security and any responsibilities not expressly transferred to LWT.
15. DATA PROTECTION
Each party will comply with applicable data protection law in relation to personal information it controls.
If LWT processes personal information on the Client’s documented instructions as a processor, the parties will put in place any data processing terms required by applicable law, including appropriate provisions on confidentiality, security, subprocessors, assistance and deletion/return.
The Client is responsible for determining the lawful basis, notices, consent mechanisms, retention rules and other controller obligations for personal data collected through the Client’s own website or business, unless the Project Order expressly assigns a specific implementation task to LWT.
16. ACCESSIBILITY, LEGAL COMPLIANCE AND CLIENT-SPECIFIC CONTENT
LWT can implement agreed technical or design measures intended to support accessibility, privacy, ecommerce or other compliance objectives. Unless expressly contracted as specialist compliance work, LWT is not engaged as the Client’s lawyer, accessibility auditor, tax adviser or sector regulator.
The Client remains responsible for obtaining professional advice on laws and regulatory requirements specific to its business, sector, products, customers and jurisdictions.
17. SEO, MARKETING AND COMMERCIAL PERFORMANCE
Unless expressly included, LWT is not providing marketing strategy, paid advertising management, ongoing SEO services, social media management or sales consultancy.
We may build technical infrastructure to support the Client’s marketing direction, including landing pages, analytics/event architecture, integrations and campaign-ready web components.
LWT does not guarantee search-engine rankings, traffic, leads, conversion rates, sales, revenue or other commercial outcomes. Search engines, advertising platforms, social networks and third-party algorithms are outside LWT’s control.
18. WARRANTIES AND DEFECT CORRECTION
We will perform the services with reasonable care and skill.
If the Project Order does not specify a different warranty period, the Client should notify LWT of reproducible material defects in bespoke work within 30 days after final launch/acceptance. We will use reasonable efforts to correct defects that represent a failure to meet the agreed scope.
The defect warranty does not cover new requirements, Client or third-party modifications, misuse, third-party platform changes, expired licences, hosting failures, malware introduced outside LWT’s control or browser/device changes arising after delivery.
19. CONFIDENTIALITY
Each party will keep confidential non-public business, commercial, technical and security information received from the other party and will use it only for the purposes of the relationship, except where disclosure is required by law or reasonably necessary to professional advisers, personnel or subcontractors bound by appropriate obligations.
This obligation does not apply to information that is already public other than through breach, was lawfully known without restriction, or is independently developed without use of the confidential information.
20. SUBCONTRACTORS
LWT may use employees, contractors or specialist suppliers to perform parts of the services. LWT remains responsible for managing the agreed work and will require appropriate confidentiality and, where relevant, data protection obligations.
21. DELAYS OUTSIDE REASONABLE CONTROL
Neither party is responsible for delay caused by events outside its reasonable control, such as major hosting/provider failures, widespread internet outages, natural disasters, war, governmental action, industrial action, severe cyber incidents or failure of a critical third-party platform, provided the affected party takes reasonable steps to mitigate the impact.
22. SUSPENSION AND TERMINATION
Either party may terminate a project where the other commits a material breach and, where the breach can be remedied, fails to remedy it within a reasonable period after written notice.
LWT may suspend work for material non-payment, unlawful instructions, serious security risk or persistent failure to provide essential Client input, after reasonable notice where practicable.
If a project is terminated, the Client must pay for work properly performed and committed third-party costs up to the termination date, together with any other amount expressly agreed in the Project Order. LWT will provide paid-for deliverables in their then-current state where reasonably practicable and legally permissible.
Deposits and advance payments are handled as stated in the Project Order. Any retention of an advance payment will reflect genuine work performed, reserved capacity, committed cost or other legitimate loss, subject to applicable law and the Project Order.
23. LIMITATION OF LIABILITY
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation and, where applicable, death or personal injury caused by negligence.
Subject to the paragraph above, neither party will be liable to the other for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, business opportunity or goodwill, except to the extent that such loss is expressly included as a direct recoverable loss in the Project Order.
Subject to the paragraph above, LWT’s aggregate liability arising out of a Project Order is limited to the total fees paid or payable to LWT under that Project Order during the 12 months preceding the event giving rise to the claim, or, for a project lasting less than 12 months, the total LWT fees under that Project Order.
Third-party fees paid directly to providers are not LWT fees for the purpose of the liability cap.
24. INDEMNITY FOR CLIENT-SUPPLIED MATERIALS
The Client will be responsible for third-party claims arising from materials, instructions or content supplied by the Client that infringe intellectual property rights or are unlawful, except to the extent the claim results from LWT’s unauthorised alteration or use outside the Client’s instructions.
25. NON-SOLICITATION / PERSONNEL
No non-solicitation restriction applies unless expressly stated in the Project Order. If LWT later requires one for a specific project, it will be separately agreed in writing rather than implied by these General Service Terms.
26. NOTICES
Formal contractual notices should be sent using the contact method stated in the Project Order. General legal correspondence may be sent to hello@leonwebtailor.co.uk.
27. ASSIGNMENT
Neither party may assign a material project contract without the other party’s written consent, not to be unreasonably withheld or delayed, except that LWT may assign the contract as part of a genuine reorganisation, sale of substantially all relevant business assets or transfer to a successor entity, provided the Client’s rights are not materially reduced.
28. ENTIRE AGREEMENT AND VARIATION
The Project Order and incorporated terms form the entire agreement concerning the relevant project and supersede earlier discussions or representations about that project, except for fraud or fraudulent misrepresentation.
A material variation must be agreed in writing. Email or an approved project-management record may constitute writing where it clearly records the agreed change.
29. SEVERABILITY AND WAIVER
If any provision is held invalid or unenforceable, the remaining provisions continue in effect. Failure or delay in enforcing a right does not by itself waive that right.
30. THIRD-PARTY RIGHTS
Unless the Project Order expressly states otherwise, a person who is not a party to the contract has no right to enforce it under the Contracts (Rights of Third Parties) Act 1999.
31. GOVERNING LAW AND JURISDICTION
The contract and any non-contractual obligations arising from it are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory rule that cannot lawfully be excluded.
